1. ACCEPTANCE OF TERMS

By accessing, browsing, or using any services, websites, platforms, or communications operated by Xcel Digi LLC (“Company,” “we,” “our,” “us”), you (“User,” “Client,” or “you”) hereby agree to be legally bound by these Terms & Conditions (“Terms”) in their entirety.

If you do not agree to these Terms, you must cease use of all services and digital properties immediately.

2. SCOPE OF SERVICES

Xcel Digi LLC provides digital marketing, SEO, web development, paid advertising, and associated consulting services. Specific deliverables are outlined per written agreements, invoices, or proposals. All services are provided on an “as-is” and “as-available” basis.

3. CLIENT RESPONSIBILITIES

You agree to:

• Provide accurate, complete, and timely information for project execution.
  
  
• Maintain valid payment methods and fulfill all invoicing obligations.
  
  
• Adhere to timelines, approval windows, and content delivery schedules.
  
  
• Not use our services for unlawful, unethical, or malicious purposes.
  
  

Failure to fulfill client responsibilities may delay service delivery and does not void payment obligations.

4. PAYMENT TERMS

All pricing is communicated via invoice or formal quotation. Unless otherwise agreed:

• Payments are due in full upfront for one-time services or monthly in advance for recurring retainers.
  
  
• Accepted payment methods include credit/debit card, PayPal, Stripe, ACH, or wire transfer.
  
  
• Late payments may incur a 5% monthly interest fee.
  
  
• Xcel Digi LLC reserves the right to suspend services or terminate access upon non-payment.
  
  

All transactions are final unless otherwise governed by our Refund Policy.

5. INTELLECTUAL PROPERTY

Unless expressly stated otherwise:

• All content, designs, campaigns, code, copywriting, and deliverables produced by Xcel Digi LLC remain the intellectual property of the Company until payment is received in full.
  
  
• Upon full payment, rights to final deliverables (excluding proprietary tools or templates) may be transferred to the client.
  
  
• You may not resell, replicate, or repurpose our proprietary methods or strategies without prior written consent.
  
  

6. THIRD-PARTY TOOLS AND SERVICES

Our services may include the use or integration of third-party platforms (e.g., Google Ads, Meta Business, WordPress, Shopify). Xcel Digi LLC is not responsible for the uptime, data loss, pricing, or policy changes of these platforms.

You acknowledge that your use of third-party tools is subject to their respective terms and conditions.

7. DISCLAIMERS

To the maximum extent permitted by applicable law:

• We make no warranties or guarantees regarding specific results, rankings, sales, or outcomes.
  
  
• All services are rendered based on best practices, experience, and industry standards, but results may vary based on market conditions, algorithms, and external factors beyond our control.
  
  
• You assume full responsibility for the use of our services and any outcomes derived therefrom.
  
  

8. LIMITATION OF LIABILITY

Under no circumstance shall Xcel Digi LLC, its owners, directors, or contractors be liable for:

• Any indirect, incidental, special, punitive, or consequential damages.
  
  
• Any loss of profits, data, business, goodwill, or opportunity.
  
  
• Any claims exceeding the total amount paid by the client within the preceding 60 days of the claim.
  
  

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Xcel Digi LLC from any claims, liabilities, losses, costs, or damages, including legal fees, arising from your misuse of our services, breach of these Terms, or violation of any applicable laws or third-party rights.

10. TERMINATION

We reserve the right to terminate or suspend your access to our services at any time, with or without notice, if:

• You violate any term of this agreement.
  
  
• You engage in fraudulent, abusive, or unethical behavior.
  
  
• Payment is delayed beyond 15 days of due date.
  
  

You may also cancel service by written request, subject to our Refund Policy and any contractual obligations.

11. UK USERS (LIMITED CLAUSE)

If you are located in the United Kingdom, you agree that:

• UK consumer rights may apply where applicable under UK law.
  
  
• However, the primary governing law and jurisdiction remain those of the United States.
  
  
• Use of our services from outside the U.S. is at your own discretion and risk.
  
  

12. GOVERNING LAW & JURISDICTION

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any legal dispute shall be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to the personal jurisdiction of such courts.

13. MODIFICATIONS TO TERMS

We reserve the right to revise these Terms at any time. Updates will be posted to our website with a revised effective date. Continued use of our services constitutes acceptance of any modifications.

14. ENTIRE AGREEMENT

These Terms, along with any proposal, invoice, or contract issued by Xcel Digi LLC, constitute the full agreement between both parties and supersede any prior agreements or understandings.
